PT Tirta Boga Nusantara — Target LDD

142 documents ingested · 6 categories · report generated 10 Aug 2026, 09:14 WIB
Executive summary Overall risk: Medium

The target is validly established and in good standing, with share ownership consistent across the deed chain. Three matters require resolution before signing: an expired halal certification for two production lines, a change-of-control consent missing from the largest distribution contract, and an unregistered fiduciary security over plant equipment. No material litigation exposure was identified.

Ask in plain language, get a memo

What are the requirements for foreign investment in an Indonesian F&B business under the latest OSS regulations?

Scope Peraturan nasional BKPM / OSS Company archive + Add source Answered in 8.2s · 6 sources · English output
Research memorandum Internal use · privileged & confidential
Question

Whether, and on what conditions, a foreign investor may hold equity in an Indonesian food & beverage company, and what licensing steps apply under the risk-based OSS regime.

Short answer

Yes. Most F&B activities are open to full foreign ownership through a PT PMA, subject to a minimum investment of IDR 10 billion per KBLI per project location (excluding land and buildings) and paid-up capital of at least IDR 10 billion. Licensing runs through OSS-RBA: an NIB plus the risk-tier permits for the relevant KBLI — for restaurant operations (KBLI 56101), a medium-low risk classification requiring an NIB and a certificate of standards.

Caveat

Sectoral requirements shift with implementing regulations and regional rules. Confirm the current KBLI risk tier in OSS before filing, and treat this memo as internal guidance rather than an opinion.

Pasal 8 — Kerahasiaan

Plain-language summary

This vendor agreement is broadly usable, but the payment clause contradicts itself on the payment window, the late-payment penalty has no cap, and the confidentiality obligation ends with the contract instead of surviving it. Dispute resolution points to the district court while your standard is BANI arbitration.
